1. Nature of the Agreement
This Agreement is entered into between HBC ("HBC Assets", "the Company") and the Client ("you", "the Investor") upon acceptance of these Terms and Conditions. By submitting this registration, you acknowledge that you have read, understood, and agreed to be bound by these Terms in their entirety.
HBC operates across the Middle East, United Kingdom, and Africa, providing discretionary investment management services to qualified and invited clients only. Access to HBC's investment programme is strictly by invitation and subject to approval at HBC's sole discretion.
2. Investment Structure
The minimum investment amount is $20,000 USD. Investments are accepted in United States Dollars (USD) or UAE Dirhams (AED) at the prevailing exchange rate at time of deposit confirmation.
The standard investment term ranges from a minimum of two (2) years to a maximum of six (6) years. All investments are subject to a mandatory lock-in period of eighteen (18) months from the date of confirmed investment, during which no withdrawals, partial redemptions, or transfers shall be permitted.
HBC targets annual growth of seventeen percent (17%) to twenty-five percent (25%) per annum. These figures represent objectives and projections only and are not guaranteed. Actual performance may vary based on prevailing market conditions, economic factors, and portfolio management decisions made at HBC's discretion.
3. Discretionary Management
The Client hereby grants HBC full discretionary authority over the deployment, allocation, management, and rebalancing of invested capital. HBC shall have sole and absolute discretion in determining the composition of the investment portfolio, including but not limited to the selection of instruments, asset classes, markets, and geographies.
HBC shall not be required to seek the prior approval of the Client for individual investment decisions. The Client acknowledges that HBC's investment decisions are based on proprietary research, market intelligence, and the professional judgement of HBC's investment team.
No specific asset class, instrument, or allocation strategy shall be guaranteed or represented to the Client as part of this agreement. All investment strategies remain confidential and proprietary to HBC.
4. Fees & Charges
HBC charges zero management fees to clients. HBC's compensation is derived solely from performance within its proprietary investment operations. No entry fees, exit fees, annual management fees, or advisory fees shall be charged to the Client's invested capital.
5. Reporting & Communication
HBC shall provide clients with biannual performance reports covering the preceding six-month period. Reports shall be delivered electronically to the registered email address on file. Clients may request additional statements at HBC's discretion.
All formal communications from HBC shall be made via the registered email address. The Client is responsible for ensuring their contact details remain current and for notifying HBC of any changes promptly.
6. Capital Return & Exit
Upon maturity of the agreed investment term, HBC shall return the principal investment together with accumulated gains to the Client's designated account within thirty (30) business days of the maturity date, subject to applicable verification and processing requirements.
Early withdrawal requests submitted after the expiry of the eighteen (18) month lock-in period shall be reviewed at HBC's discretion. HBC reserves the right to apply a redemption notice period of up to ninety (90) days. Early withdrawal prior to the lock-in expiry shall not be permitted under any circumstances.
7. Client Eligibility & Compliance
By registering, the Client confirms that they are of legal age in their jurisdiction, that the funds being invested are from legitimate sources, and that the Client has the legal capacity to enter into this Agreement. The Client agrees to provide accurate and complete information and to cooperate with any verification or compliance requests made by HBC.
HBC operates in compliance with applicable anti-money laundering (AML) and know-your-customer (KYC) regulations. HBC reserves the right to refuse, suspend, or terminate any registration or investment relationship where compliance requirements are not satisfied.
8. Confidentiality
All information shared between HBC and the Client — including but not limited to portfolio valuations, investment strategies, performance data, and client details — shall be treated as strictly confidential by both parties. Neither party shall disclose such information to third parties without prior written consent, except as required by law or regulation.
9. Limitation of Liability
HBC shall not be liable for investment losses arising from market conditions, geopolitical events, force majeure, or circumstances beyond HBC's reasonable control. HBC's liability to any Client shall not exceed the total value of that Client's invested capital at the time of the relevant event.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of the UAE, unless otherwise agreed in writing by both parties.
11. Amendments
HBC reserves the right to amend these Terms and Conditions from time to time. Clients will be notified of material changes via their registered email address. Continued participation in HBC's investment programme following such notification shall constitute acceptance of the amended terms.
Investment & Market Risk
Like all investment activity, the value of your portfolio with HBC may fluctuate in line with market conditions. HBC actively manages these exposures on your behalf, and past performance provides context but does not predict future outcomes.
Return Targets
HBC targets annual growth of 17% to 25%. These are performance objectives that guide our investment approach — not contractual guarantees. Market conditions vary, and actual performance will reflect the environment we operate in during your term.
Capital Commitment
HBC operates an 18-month lock-in period from your investment date. This structure allows us to deploy capital effectively and pursue the best opportunities for our clients. We ask that you commit funds you are comfortable setting aside for the duration of your chosen term.
Discretionary Management
HBC manages all portfolios on a fully discretionary basis. Our investment decisions are guided by proprietary research and our team's expertise. This structure is what allows us to act quickly and decisively on behalf of our clients.
Currency & Market Exposure
Where your portfolio includes positions across different currencies or markets, exchange rate movements may influence performance in your base currency. HBC monitors these exposures as part of its ongoing portfolio management.
Operational Framework
HBC works with regulated brokers, custodians, and financial counterparties to execute and safeguard client investments. Our operational structure is designed to protect client assets at every stage.
